A leading analyst of board behaviour explains the working of the board, considering its structure, term limits, size, and age limits. The importance of a board effectiveness assessment model that rigorously assesses boards, its directors and committees, and in doing so, provides the direction and answers that boards seek, is mentioned. This paper is adapted from Dr Richard Leblanc's address Effective Corporate Governance: Measuring and Benchmarking Board and Director Performance, to CEDA Melbourne on 8 November 2005.
